1. Introduction

Welcome to MailWarmup.ai ("MailWarmup," "we," "our," or "us"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MailWarmup regarding your use of our website, platform, and services. By accessing, using, or registering for our services, you acknowledge and agree to be bound by these Terms. If you do not agree, you must not use our services.

2. Acceptance of Terms

By accessing or using MailWarmup, you confirm that you have read, understood, and accepted these Terms, our Privacy Policy, and Cookie Policy, which collectively govern your use of our platform. You further agree to comply with all applicable laws and regulations.

If you do not agree with any part of these Terms, do not access or use the service.

3. Services Provided

MailWarmup offers an email warm-up service that enhances email deliverability and reputation. Our platform automates email interactions to improve domain and IP reputations.

1. 3.1 No Guarantee of Results: While our service is designed to improve email deliverability, we do not guarantee that your emails will always reach inboxes or that your domain or IP will not be blacklisted.
2. 3.2 User Responsibility: Users are fully responsible for the configuration, usage, and monitoring of the service.
3. 3.3 No Liability for Misuse: MailWarmup is not responsible for any damage, blacklisting, or reduced reputation of email domains due to user misuse, excessive interactions, or any other reason beyond our control.
4. Registration and User Account

To access our services, you must create an account.

1. 4.1 Account Security: You are responsible for maintaining the confidentiality of your login credentials and any activities that occur under your account.
2. 4.2 Accurate Information: You must provide accurate and up-to-date information during registration. Providing false or misleading information may result in suspension or termination of your account.
3. 4.3 No Unauthorized Access: You may not share your login credentials with others or allow unauthorized access to your account.
5. Fees, Payments, and Refund Policy

MailWarmup operates on a subscription model. By subscribing, you agree to pay all applicable fees as outlined in our Pricing Page.

1. 5.1 Subscription Fees: Fees are charged on a recurring basis (monthly or annually).
2. 5.2 Non-Refundable Payments: All fees are non-refundable. We do not offer refunds or credits for unused periods or partial months.
3. 5.3 Automatic Renewal: Subscriptions renew automatically unless canceled before the renewal date.
4. 5.4 Failure to Pay: If your payment fails or remains unpaid for more than fifteen (15) days, we reserve the right to suspend or terminate your account without notice.
5. 5.5 Price Changes: We may change pricing at any time. If we do, we will provide a 30-day notice via email or our website.
6. Acceptable Use and Restrictions

You agree to use MailWarmup responsibly and in compliance with all applicable laws. You may NOT:

1. 6.1 Use our service for sending spam, phishing, or other unsolicited emails.
2. 6.2 Use the platform for any illegal or fraudulent activities.
3. Engage in email fraud, scams, or impersonation.
4. 6.3 Modify, reverse-engineer, or interfere with MailWarmup’s software or services.
5. 6.4 Use the platform in a manner that negatively impacts other users.

6.5 Violation of any of these restrictions may result in immediate termination of your account without refund.

7. Data Collection and Privacy

Our Privacy Policy governs how we collect, use, and store your data.

1. 7.1 User Data: We collect and process email-related data strictly for providing the services.
2. 7.2 Third-Party Services: If you integrate MailWarmup with third-party services, you agree to their respective terms.
3. 7.3 No Ownership of User Data: Users retain ownership of their data but grant MailWarmup a license to use it solely for service provision.
4. 7.4 No Liability for Data Loss: While we implement security measures, we are not responsible for unauthorized access, breaches, or data loss.
8. Service Availability and Modifications
1. 8.1 No Guarantee of Uptime: We strive to maintain reliable service availability, but we do not guarantee uninterrupted service.
2. 8.2 Modifications to Service: We reserve the right to modify, suspend, or discontinue the service at any time without prior notice.
3. 8.3 No Liability for Downtime: MailWarmup is not responsible for any damages or losses resulting from service downtime.
9. Intellectual Property Rights

All trademarks, software, and content on MailWarmup are our exclusive property.

1. 9.1 No Reproduction: Users may not copy, reproduce, distribute, or modify MailWarmup’s content without written permission.
2. 9.2 License Restrictions: The user’s right to use our platform is limited to personal and business use within the scope of the subscription plan.
10. Limitation of Liability

To the fullest extent permitted by law:

• 10.1 No Liability for Indirect Damages: MailWarmup is not liable for any indirect, incidental, or consequential damages.
• 10.2 No Warranty: We provide the service "as is" without warranties of any kind.
• 10.3 Cap on Liability: Our total liability shall not exceed the amount you paid for the service in the last three (3) months.
11. Indemnification

Users agree to indemnify and hold MailWarmup harmless from any claims, damages, or liabilities arising from their use or misuse of the service.

12. Termination of Service

MailWarmup may terminate or suspend a user’s account under the following conditions:

• 11.1 Violation of any terms of this agreement.
• 11.2 Suspected fraudulent or abusive activity.
• 11.3 Overdue payment beyond fifteen (15) days.

Upon termination, all data associated with the account may be deleted without liability.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware.

• 12.1 No Class Actions: Users agree to resolve disputes individually and not as part of a class action.
• 12.2 Arbitration Clause: Disputes shall be resolved through binding arbitration in Delaware, United States.
14. Changes to These Terms

MailWarmup may modify these Terms at any time. Continued use of the service after changes constitutes acceptance of the updated Terms.
